1. General provisions
MB Versify Agency ("the Seller") sells private label cosmetics and dietary supplements. By placing an order, the Buyer acknowledges and agrees to these terms and conditions, including disclaimers.
In certain situations, depending on the specificity of the product, final production, bottling or packaging may be outsourced to third parties. This may include, but is not limited to, universities, scientific institutions or specialised manufacturing partners that meet regulatory requirements and quality standards. The Seller warrants that any outsourced activities will be carried out in accordance with the highest standards of quality control and safety, but accepts no liability for the actions of third parties if their activities cause delays or product defects.
2. Production and delivery
The Seller undertakes to deliver the Goods within the agreed time limits, but the Buyer understands and acknowledges that delays may occur due to circumstances beyond the control of the Seller. Such factors may include, but are not limited to:
- Delays in the supply of raw materials from third country suppliers
- Longer tests or validation procedures required by external laboratories or regulatory authorities
- Suspension of production due to technical faults or maintenance work
- Delays in the supply of containers or packaging materials from third country suppliers
- Unexpected delays related to customs procedures or other regulatory authorities
The Seller shall use its best endeavours to minimise such delays, but shall not be held liable for any financial loss or inconvenience resulting therefrom.
3. Third party suppliers
The Seller uses certain raw materials, including but not limited to packaging materials, ingredients and other components, which are supplied by third party suppliers. Buyer understands and acknowledges that Seller acts only as an intermediary in such transactions. The Seller is not responsible for the quality, delivery time or any defects in the products supplied by third party suppliers.
For example, in the case of packaging materials, any complaints about quality, delivery or delays should be addressed directly to the supplier. The Seller will assist the Buyer in its dealings with the supplier, but accepts no liability for delays or defects caused by third party suppliers.
4. Limitation of liability
The Seller's liability for any damages for delays, defects or losses shall be limited to direct damages only and shall not exceed the amount paid by the Buyer for the related order. The Seller shall not be liable for indirect or consequential damages, including but not limited to loss of profits or business interruption.
5. Force majeure
The Seller shall not be liable for any default or delay caused by circumstances beyond its control, including but not limited to natural disasters, strikes, governmental regulatory actions or other unforeseen events that prevent normal operations.
6. Risk transfer
The risk of loss or damage to the products shall pass to the Buyer as soon as the products are handed over to the third party responsible for transporting the goods. The Seller shall not be liable for any loss incurred during transportation, unless the Seller provides the transportation services.
7. Dispute resolution
All disputes arising out of these terms and conditions or in connection with the services provided by the Seller shall be settled in accordance with the law of the Republic of Lithuania. In the event of any disputes, the parties shall first seek to resolve them by negotiation. In the event of failure to reach an agreement, the dispute shall be settled by the competent court in Lithuania according to the place of registration of the Seller.
8. Privacy and data protection
The Buyer confirms that he/she understands and agrees to the Seller's privacy policy, according to which personal data will only be processed to the extent necessary for the fulfilment of orders and the delivery of goods. The Buyer has the right to request that his/her personal data be deleted or rectified by contacting the Seller by e-mail.
